The following describes the terms on which PRACTITIONERSSUPPORTINGPRACTITIONERS.COM (referred to herein as “PSP” “we,” or “us”) offer you access to our services. 

Your permission to use the PSP Service, and the licenses granted herein, are expressly conditioned upon your acceptance of these Terms of Service, and the following additional terms and conditions and policies, which are hereby incorporated by reference (collectively, the “Agreement”):

PSP is a web-based service available from the domain www.practitionerssupportingpractitioners.com

This service provides holistic health care providers with an online marketplace to buy and sell holistic health and wellness materials directly from and to each other and the public, which may consist of original digital materials created by the seller (“Resources”). The service provided by PSP is referenced herein as the “Service.” PSP at no time owns or sells any product for or on behalf of its vendors. 

1) Membership

PSP defines “holistic health care providers” as being certified or having a degree in some area of the health and wellness field. Some certifications include, but not excluded to:

  • Holistic Nurse
  • Doula / Birth Coach
  • Integrative Medicine
  • Functional Medicine
  • Senior Health Specialist
  • Chiropractor
  • Acupuncturist
  • Massage Therapist
  • Certified Aromatherapist
  • Certified Herbalist
  • Traditional Chinese Medicine
  • Personal Trainer / Group Exercise Instructor

As there are many certifications and dozens of different degrees in the health and wellness field, not all are listed here. If you have a degree or certification in an area that is not listed but think it may qualify, please submit your application and those decisions will be made on a case-by-case basis.

PSP reserves the right to deny any vendor application regardless if vendor meets the definition of “holistic health care professional”.

Holistic health care professionals who sell Resources via the Service are referenced herein and in the Service as “Vendors.” Holistic health care professionals who purchase Resources via the Service are referenced herein and in the Service as “Buyers.”

This Terms of Service/User Agreement (“Agreement”) governs your access to and use of the Service, whether in the capacity of a Vendor, Buyer, or visitor, including the finding, buying, posting, selling, and sharing of Resources, and participating in online forums, which features and activities shall also be considered part of the “Service.” Portions of the PSP Service are publicly available to all visitors to the site. Other portions of the Service are available only to registered members who are Vendors, and/or Buyers (collectively, “Members”). By registering with PSP or by using the Service in any manner – including, but not limited to, by visiting the www.practitionerssupportingpractitioners.com website – you acknowledge and agree to the terms stated in this Agreement. This Terms of Service applies to both visitors and Members.

Membership Types

Buyers. You can join PSP as a Buyer to use our Services for purchasing and downloading Resources (“Buyer”, “Buyer Membership”). A Buyer Account is owned by the individual whose name and email address are listed on the Account profile. As a Buyer, you’ll be able to make purchases, download free and purchased Resources.

Sellers/Vendors. You can enjoy additional capabilities that allow you to offer and sell Resources through our Services as a Seller (“Seller”, “Seller Membership”). Sellers include individuals offering their own original work PSP reserves the right to modify your Seller Membership type at any time at our discretion.

Seller/Vendor Memberships have all the same features of Buyer Memberships plus the ability to upload and sell Resources, access sales data, access marketing features and tools, and access additional information and communication features. To open an account, individuals must be 18 years or older.   By registering for an account you represent and warrant you are at least 18 years of age or older. 

2)  Pricing, Earnings, Fees, Payments, Refunds

Buyers. Joining as a Buyer is free. Buyers may, at any time, and after paying any applicable fees, upgrade to a Seller/Vendor Membership.

Sellers. PSP offers multiple Seller Membership options. Each Seller Membership has different features, Payout Rates, and Fees.

“Fees” can include (1) membership subscription fees charged each membership term (“Membership Fees”), and (2) fees charged per Resource sold (“Transaction Fees”).

“Payout Rate” is defined as the percentage of the sale price you earn for each Resource you sell through the PSP. Payout Rates may vary depending on the type of Resource and your Membership level. The applicable Payout Rate is applied only to the sale price of each Resource at the time sold, before any Transaction Fees or Shipping Charges are applied. The remaining amount of the sale price is retained by PSP as a service fee.

For any membership for which a Membership Fee applies, your membership will automatically renew each term unless you cancel the renewal.

Membership Fees, Commissionable payouts & Transaction Fees

Vendors who wish to sell their Resources through the Service must join PSP. Two types of memberships are available for Vendors: (i) Starter Membership and (ii) Professional Membership. Starter Members who are Vendors pay no annual membership fee. Professional Members who are Vendors must pay an annual membership fee of $59.95 annually. Starter Members and Professional Members who are Vendors both receive a commission from sales made through the Service. The Service charges a service fee for each sale. The service fee is set forth in greater detail below.  Vendors can upgrade membership from the Starter level to the Professional level at any time. 

New Professional Members are entitled to a 30-Day Money Back Guarantee which may be exercised by canceling membership through the Contact Us link. If you purchase a Professional Membership and request a refund in the first 30 days, the difference between any commissions paid out to you will be deducted (Professional level at 80% vs. Basic level at 65%) from future commissions and all future earnings will be paid at Starter level of 65%.

Buyers who wish to purchase Resources through the Service also must join PSP. Buyers pay no membership fee to join PSP and there is no service fee for Buyers who purchase materials from Vendors through the Service. 

Setting Prices of Resources

Sellers/Vendors are solely responsible for setting the prices for the sale of their Resources distributed through the Service, provided that such pricing (for items that are not offered free of charge) is not below the minimum price set of $5.00 by PSP. The minimum price is subject to change; the then-current minimum price will be disclosed each time a Vendor uploads a product for sale. Sellers are obligated to sell their Resources at the prices listed on the Service.Sellers/Vendors must not exclusively use PSP to offer only free resources, but must also offer digital products for sale.  

Fee Payment for Vendors for Upload Resources.

In consideration for the services provided by PSP, Vendors agree to pay PSP a service fee (“Service Fee”) for all Resources sold to Buyers through the Service, in accordance with the following: (i) Starter Members will pay a Service Fee equal to 35% of the sale price of each item of digital Resource sold, (ii) Professional members will pay a Service Fee equal to 20% of the sale price of each item of digital Resource sold.  

For each transaction, PSP will automatically deduct the Service Fee from the sale price collected from Buyers through the Service, and then will distribute the remaining amounts to the Vendors on a monthly basis as follows: (a) PSP will collect payment from Vendors at the time Resource is purchased through the Service, (b) PSP will notify the Vendor by the email provided once payment has been verified and collected from the Buyer, and (c) provided you are in compliance with these Terms, on a monthly basis, PSP will distribute the monies due to you (as a Vendor) for the sale of your Resource.   If you are in breach of these Terms, for example due to violation of the conduct provisions, PSP reserves the right, according to its sole discretion, to withhold any funds that would otherwise be due to you under these Terms, and either keep those funds permanently, or refund them to the Buyers who purchased content from you. All monies due to Vendors will be paid as close to 21 days following the last day of the month in which an item of your Resource is sold (e.g., within 21 days after January 31 for January sales). PSP reserves the right to delay payment. Monthly payments will be made through PayPal for all Vendors. PSP reserves the right to add, remove or otherwise alter the payment processors used by the Service. If you (as a Vendor) cannot acquire an account with an approved payment processor, we may consider an alternative form of payment on a case-by-case basis. We make no representation regarding the services provided by our payment processors, and are not responsible for delays in payment caused by them. PSP will charge a fee for making each Monthly Payout that is equal to but not more than the cost to PSP from its respective payment processors for making the payout. This fee is subject to change at the discretion of the payment processors, and will be taken directly out of your Monthly Payout. 

Additional Agreements for Vendors

By listing an item for sale, or uploading it to the Service, Vendors represent to prospective Buyers that you have the right and ability to sell and deliver, and that the listing is accurate, appropriate, current, and complete and is not misleading or otherwise deceptive.  Vendor products will not provide any information that would be considered diagnosing or curing specific disease.  Vendors represent and warrant that the Resource, and use of the same will not infringe any right – including, but not limited to the copyright or trademark right – of any third party.

Vendors agree that the entire product being sold must be contained within the download offered, and that no part of such digital Resource will be delivered separately or require an additional purchase of any kind, for example a third-party website or any other channel.

For any printable materials you agree to provide your authorization, in the form of the statement below, to Buyers to print and make copies of free and purchased resources. 

“The purchaser (buyer) of the product is authorized by the owner and content creator of the materials listed below, to print and/or make copies of these materials for personal use or education purposes.  The buyer may not resell these products.” 

Unless otherwise expressly permitted by the Seller:

  • You may not use the Resource, in part or in whole, for commercial purposes. This means you can’t sell it, use it for advertising or marketing purposes, or use it in any other way in connection with a business or profit making activity.
  • You may not post or otherwise make the purchased Resource available on any website.
  • You may not share, send, sell, sublicense, or transfer the Resource to someone else for their own Personal Use or their educational usage.

Paying for purchases and downloading Resources 

When buyers purchase original digital Resources they will have the ability to download the materials from the Customer Dashboard page for as long as the materials are available.   The products may be removed by PSP or the Seller/Vendor at any time or may remain available on the dashboard indefinitely, however, it is possible the materials may be removed in the future.   PSP may remove the resource, at our discretion, due to Copyright infringement, inappropriate information or information that would constitute a medical diagnosis or medical advice.  PSP may allow original digital Resources available indefinitely, but your access to such materials through your Customer Dashboard page may be disabled if the material is removed.   Materials may also be removed by the original Seller/Vendor as a result of the original seller’s account being closed or being removed due to an intellectual property complaint or Digital Millennium Copyright Act notification. It is encouraged to download all original digital Resources you purchase, and to back up those materials. PSP cannot restore access to, or provide copies of, purchased materials that have been removed from our Service.

You agree not to share, sell or collaborate your purchases with your colleagues, practitioners, vendors or friends, for their professional use, due to the nature of these downloadable materials. You agree not to post your purchased or freely downloaded files on the Internet.

You agree to pay in full for all Resources purchased through the Service, and agree that PSP may charge your credit card, PayPal or other account for any Resource purchased, including any applicable shipping charges, and for any additional amounts (including any taxes and late fees, as applicable) as may be accrued to or in connection with your Member Account. You are responsible for the timely payments of all sales and all fees associated with PSP with the Paypal account details for payments provided, or by credit card or other approved forms of payment by PSP.

You agree that delivering all Resources to you does not transfer to you any commercial or promotion use rights in the Resource. You agree that your use of the Service (including your purchase of Resources) constitutes your acceptance of and agreement to use the Service and such Resources solely in accordance with this Agreement.   Any other use of the Service or Resources may violate copyright and other laws of the United States, other countries, as well as applicable state laws, and you may be subject to liability for such unauthorized use. As a condition of use, you agree not to share your purchases with your colleagues, practitioners, vendors or friends for professional use.

Electronic Signatures and Contracts

Your use of the Service includes the ability to enter into agreements and/or to make purchases electronically.  You acknowledge that your electronic signatures or submissions constitute your intent and acknowledgment of agreements.   This applies to all policies, cancellations, contracts and purchases.   You alone are responsible for having the appropriate hardware and software to access and download materials you access from PSP.    

Monitoring Content From PSP

PSP has the right, but not the obligation, to monitor any activity and Content associated with our Services. We may investigate any complaints or reported violations of our policies and take any action that we deem appropriate. Such action may include, but is not limited to, issuing warnings, suspension or termination of your Membership, denying access, and/or removal of any Content on the site, including Resource Listings.

Your direct interactions (if any) with other Members of PSP, including the purchase of, sale of, payment for, and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and the member.   Like with any web-based interaction, we suggest that you use caution and good judgment. You further understand and agree that PSP is not involved in any actual transactions made through the Service, and that it is not the agent or representative of any Vendor, or Buyer (or any visitor) for any purpose whatsoever and that it is not responsible for any loss or damage incurred as the result of any such dealings or with respect to any other visitor’s or Member’s use or disclosure of your personally identifiable information. If a dispute arises between you and a third party, PSP is under no obligation to get involved.   Your agreement releases PSP from any claims, demands or damages relating to any dispute.  You agree that you are solely and exclusively responsible for any federal, state, or local taxes, including sales taxes, that might apply to any sales you make in connection with Service.

Refunds

Due to the unique nature of digital products and downloads, all product sales are final, and no refunds are available.

PSP may in its sole discretion make certain exceptions to this policy on a case-by-case basis, for example if: (a) a digital file is defective; (b) a product description is materially deceptive or misleading; or (c) a physical item has not been shipped within 10 business days of an order being placed. If such an exception is made, PSP may issue to the buyer a refund for such purchase in any manner it deems appropriate, including without limitation in the form of store credit.

As a buyer, it is your responsibility to determine that you have the appropriate hardware/software internet, storage space and service connectivity to make use of digital files, that the file format is appropriate for your needs, and that the content you are purchasing is legal and noninfringing. No refunds are available in these cases. Products removed from the Service due to a complaint of copyright/trademark infringement, or for any other reason, are not eligible for a refund.

If PSP elects to issue a refund to a buyer, the amount refunded will be deducted from the seller’s next Monthly Payout, provided however that if the seller’s next Monthly Payout is less than the refund amount(s), PSP may charge such refund amount(s) to the seller’s credit card, PayPal account, or other payment processor account.

3) Intellectual property and license grants.  

THE SERVICES AND THE SITE CONTENT

Except for content uploaded or posted by Members, all other aspects of the Site on our Services is owned or controlled by PSP. This includes, but is not limited to, all text, graphics, photographs, logos, and other imagery, videos, user interfaces, trademarks, computer code, and other content of our Site or Apps (collectively, “Site Assets”). This also includes the design, structure, coordination, arrangement, expression, and the “look and feel” of Site Assets. Site Assets are protected by copyright, trademarks, trade dress, trade secret, and other intellectual property rights.

You may not use, reproduce, copy, modify, republish, perform, display, disassemble, reverse engineer, translate, or distribute Site Assets in any way to any person, computer, server, website, or other entity for any commercial purpose without our explicit permission. By commercial purpose it means you can not sell, license, rent, use in your own business or website, incorporate into marketing materials or presentations, or make other commercial use of our Site Assets.

YOUR CONTENT

Rights you grant to PSP.  Some parts of our Services allow you to upload or post Content. You retain any intellectual property rights that you hold in that Content. PSP does NOT take or claim any ownership (copyright, trademark, or otherwise) over your Content.

When you post or upload Content to our Services, you grant to us limited rights to store, use, and display, and provide access to the Content you post as necessary to provide our Services, such as to display your Resource in your store and in search results, to make your Resources available for download, and to display and promote your Resources through our Services, through email, and ads on other sites or search engines, and through other marketing campaigns. For these purposes, you grant to us a nonexclusive, irrevocable, perpetual (except as otherwise provided herein), worldwide, sublicensable license to exercise any copyright, trademark rights, or other rights in and to your Content necessary to provide our Services to you and our other Users.

Rights you grant to others. When a Member purchases a license to use your Resource or downloads free Resources from you, you allow them to use your Resource as described above, in accordance with the license type purchased by such Member and any other terms you expressly set forth in writing in connection with such Resources (as long as any additional terms do not conflict with these Terms). 

We respect the intellectual property rights of others and expect the same from all of our Members. No Member may post any material, information, communication, data, or anything else that infringes on the copyrights, trademarks, or patent rights of someone else.

It is PSP’s policy to close the Accounts of Members who repeatedly or egregiously violate this policy.

We comply very closely with the Digital Millennium Copyright Act (DMCA) and other laws governing the use of intellectual property. 

License Grants by Sellers to PSP.

Vendors who submit or upload content on or through the Service retain ownership of any copyright to submitted content. However, by making your content available through the Service you automatically grant PSP a royalty-free, perpetual, irrevocable (except as expressly set forth in this Agreement), non-exclusive, worldwide, sublicensed right to exercise any copyright or trademark rights and/or database rights (but no other rights) you have in the content, in any media now known or later developed, solely as reasonably necessary to make the Resource available through the Service. This allows PSP to engage third-party servers to host or store your content so that we can make it available through our Service.If you cancel your membership and/or leave the service, or have removed your resource from the service this license is considered revoked at that time which you cancel the membership or remove the resources.  However, PSP’s license to make resources previously sold prior to the cancellation or removal is content of the purchaser.  

When you (Vendor) submit or upload content through the Service, you represent and warrant that you have all the rights and/or licenses necessary to use, reproduce, publish, publicly display, publicly perform, distribute, and otherwise exploit such content in connection with the Service, including the right to grant to others all of the rights and licenses.   Uploaded content will not infringe or otherwise violate the copyright, trademark, or other intellectual property rights of any third party.   You (Vendor) have the consent, release, and/or permission of each identifiable person depicted in your content to upload, transmit, publish, sublicense, and/or disseminate their name and/or likeness through the Service. You (Vendor) retain ownership of any rights – including, but not limited to, copyrights and trademark rights – you claim to your submitted content. As such you control the copyright licenses granted to a Buyer.  

4) PSP Website Conduct

As a condition of using the Service, Members and visitors agree to all of the following:

You must be a registered Member to buy or sell Resource through the Service according to terms above.

You are required to select a member Username and password. You are responsible for maintaining the confidentiality of your Username and password. You should be diligent with the PSP site information as with all Usernames and passwords as you are alone responsible for all activity that occurs under that Username, including uploaded materials and any content or conduct.

You agree that you will not modify any part of PSP website, system, security or software or encourage anyone else to do the same. 

Further, while using the Service, Members and visitors agree not to:

You will not provide medical advice or resources intended to diagnose, cure, treat or prevent any disease, illness or condition.

Upload, post, email, transmit, communicate or otherwise make available any content, material, or information to, on, or through the Service that is fraudulent, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, pornographic, profane, sexually explicit or indecent, illegal, threatening, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.   

You agree not to use PSP for any unathorized advertising, promotional materials, send spam, junk, chain letter, any illegal activity or uload, post, email, transmit, or otherwise make available to Members or visitors or any other form of solicitation.   You will not transmit viruses, attache spyware, malware or any harmful devices.   You agree not to violate any federal or local laws, intellectual property law, impersonate any person or entity, or falsely represent yourself.

You agree not to sell or offer for sale stolen goods copywriter infringement materials that infringe a patent, trademark, trade secret, copyright or other proprietary rights of another person, or entity or that violate any rights of privacy or publicity, or that defame or libel any person or entity, or offer content that you do not have a right to make available under any law or under contractual or fiduciary relationships (including without limitation any goods purchased or obtained by you without right of resale such as promotional materials or school market-restricted materials).   

You agree not to include hyperlinks, in products for sale on PSP, to the website of any other platform or service offering any materials to diagnose, cure, treat or discourage people from seeking medical advice or facilitating the sale of nutrition materials or other educational products.   You agree not to provide materials or any other content for download that contain viruses or any other code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment or provide misleading email or IP addresses, or forged headers, or otherwise manipulated identifiers in order to disguise the origin of content transmitted through the Service or anything that could disrupt the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, that  in any manner would otherwise negatively affects Members’ and visitors’ ability to use the PSP.

You agree not to attempt to regain access to PSP following a ban or account termination, including without limitation by means of opening or attempting to open a new account under the same or different Username.   

 Inappropriate Content

PSP prohibits certain user conduct and content described above and, without obligation, will use reasonable efforts to eliminate such conduct and content from the Service. Nevertheless, you acknowledge and agree that  PSP is not and cannot be responsible for any content, information, or materials posted by users on the Service and that you may be exposed to any such materials, information, or content, and you must be responsible for all risks associated with the exposure to and/or use of any such materials and content. 

PSP has the right to, but may or may not, pre-screen and/or monitor content posted on the Service, and may remove, in whole or in part, any content, information or materials at any time for any reason, in PSP’s sole discretion.  Member will be notified if uploaded content is removed.   Content will be removed it is a medical diagnosis or treatment, or cure, of a diagnosed illness.

External Links

The Service may contain links to other websites or resources. PSP has no control over such external sites and resources in content or information.   You agree that  PSP is not responsible for the availability or accuracy of such external sites and resources, and PSP  is not liable for any content, advertising, products, services or materials on or available from such external sites and resources. Any reliance on the contents or services of such an external website or resource is done at your own risk and you assume all responsibilities and consequences resulting from such reliance.   Always use good judgment in online content including any external links or resources you find on PSP.  

5) Copyright Policy

We respect the intellectual property rights of others, and we ask that our Members and users do the same. It is our policy to disable access to or remove material that we believe in good faith to be infringing on a copyrighted work. We also disable and/or terminate the accounts of users who we believe in good faith are repeatedly infringing copyrighted works. Our Copyright Policy has been developed in accordance with the Digital Millennium Copyright Act (DMCA), and other applicable laws, and is available at www.practitionerssupportingpractitioners.com/trademark-copyright. By accepting these Terms of Service, you agree to be bound by our Copyright Policy, which is by this reference expressly incorporated into this Agreement.

6) Privacy Policy

We take the privacy of our users’ and Members’ information very seriously. Our Privacy Policy is available at www.practitionerssupportingpractitioners.com/Privacy-Policy. By accepting these Terms of Service, you agree to be bound by our Privacy Policy, which is by this reference expressly incorporated into this Agreement.

7) Indemnity

You agree to indemnify, defend, and hold harmless PSP, its employees, officers, directors, agents, and affiliates from and against all costs, expenses, damages, judgments, and liabilities (including reasonable attorneys’ fees) resulting from allegations, threats, claims, suits, or other proceedings brought by third parties related to your use or misuse of our Services, including but not limited to any breach of these Terms, violation of any federal, state, or local law, and infringement of someone else’s intellectual property, privacy, publicity, or other rights.

8) Limitation of Liability Disclaimer

PSP works very hard to provide the best experience possible to every user, but we are not able to guarantee that everything will always work perfectly or that the site will always be available.

Our Services. We work hard to ensure that our Services are always available and working properly, but disruptions do occur from time to time and we can’t guarantee that any or all features will always work, or that our Services will be continuously available. PSP is constantly working to improve our Services for all of our community Members and Users. We may update or change available functionality at any time. We make no guarantees to Sellers or other Members of the searchability of any Resource Listing offered through our Services. We make no guarantees about how much any Seller may earn or whether the level at which a Seller is earning is likely to continue into the future. YOU AGREE THAT THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PSP (INCLUDING ITS EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, AND AFFILIATES) DISCLAIMS ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO YOUR USE OF THE SERVICES. WE MAKE NO GUARANTEES RESPECTING THE AVAILABILITY OF THE SERVICES, THE SECURITY OF THE SERVICES AT ANY PARTICULAR TIME OR FROM ANY PARTICULAR LOCATION, THE CORRECTION OF ANY DEFECTS OR ERRORS, EXISTENCE OF ANY VIRUSES OR OTHER HARMFUL MATERIALS, OR ANY OTHER GUARANTEES.  YOU AGREE THAT PSP (INCLUDING ITS EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, AND AFFILIATES)  SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, REPUTATION, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) THE ACCESS TO, USE, OR THE INABILITY TO ACCESS OR USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE.  SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. PSP’S LIABILITY TO YOU OR ANY THIRD PARTY SHALL BE LIMITED TO (A) THE TOTAL AMOUNTS PAID BY YOU TO Practitioners Supporting Practitioners DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR ACTION ALLEGEDLY GIVING RISE TO SUCH LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00 USD), WHICHEVER IS THE LESSER AMOUNT. 

Interactions with other Members. You may have the ability to communicate, interact, or otherwise connect with other Members through our Service. It’s your responsibility to take precautions when sharing any information about yourself with another Member or anyone else, and you release PSP from any liability that may arise out of your interactions with another Member of our Service.

Changes to these terms

We may make changes to these Terms from time to time. Whenever the changes we’re making are material to you, we’ll attempt to notify you before those changes go into effect so that you can choose whether or not to continue using our Services. To notify you, we may send a message to the email address we have for your Account, we may post notifications around our Services, or we may use other communication methods to reach you.

This includes periodic changes to our Privacy Policy, Copyright & Trademark Policy, Community Guidelines, Seller Fees and Payout Rates Policy, and any other policies which are incorporated as part of these Terms.

The notice will include the date on which the changes will be effective. Continuing to use our Services after the changes go into effect serves as your acceptance of the changes.  

We reserve the right to suspend or terminate, or take any other action or remedy that we deem reasonable, appropriate, or necessary, in our sole discretion, with respect to your Member Account immediately, without prior notice or liability, for any reason. If we terminate your account, your right to use the Service will immediately cease. You may terminate your Member Account at any time and for any reason, and we will make available through the Service reasonable means for you to do so. When these terms come to an end, those terms that by their nature are intended to continue indefinitely will continue to apply, including but not limited to, ownership provisions, licenses, warranty disclaimers, indemnity, and limitations of liability.

 9) Miscellaneous Provisions

– Disclaimer. The information contained on Practitioners Supporting Practitioners is intended for informational and educational purposes only. Any statements made on this website have not been evaluated by the FDA and are NOT intended to diagnose, cure, treat or prevent any disease, illness or condition. Consult your doctor and your medical team before making any changes to your diet, lifestyle or begin taking or changing any supplements or foods that may interfere with medications.  No information on this site should be relied upon to determine any health related issue, nor intended to replace a one-on-one relationship with a qualified health care professional.

– Ownership of Site. With the exception of the Resource, this site, the Service, and all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, content, and computer code therein (collectively, the “PSP Content”), including without limitation the design, structure, selection, coordination, expression, “look and feel,” and arrangement of such Content is owned, controlled, or licensed by or to PSP, and is protected by trade dress, trade secret, copyright, patent, and trademark laws, and various other intellectual property rights.

Except as expressly provided in this Agreement or otherwise permitted by law, no PSP Content may be used, copied, reproduced, modified, republished, disassembled, reverse engineered, uploaded, posted, publicly displayed, publicly performed, publicly performed by means of a digital audio transmission, encoded, translated, transmitted, or distributed in any way to any other person, computer, server, website, or in any other medium for any purpose, without PSP’s express prior written consent.

– Entire Agreement. The Terms of Service, including PSP’s Copyright Policy and Privacy Policy, which are incorporated by reference above, constitute the entire agreement between you and PSP and governs your use of the Service.

– No Agency. PSP is not the agent or representative of any site users (including, without limitation, any Vendors, or Buyers), nor does it operate under their authority for any purpose. PSP is simply a service provider that offers users the technological means to communicate with each other, sell goods to each other, and buy goods from each other.

– Governing and Applicable Law. The Terms of Service will be governed by and construed in accordance with the laws of the State of California, in the United States of America, without regard to its conflict of law provisions. The Service is operated by Health Kindness from its offices in California, in the United States of America. PSP makes no representation that materials or content on the Service are appropriate or available for use in other locations. Those who choose to access the Service from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Software from this site is further subject to United States export controls. No software from www.practitionerssupportingpractitioners.com may be downloaded or otherwise exported,

– Dispute Resolution: Any dispute arising out of or relating to these terms or the Service shall be submitted exclusively to confidential binding arbitration in California, except that to the extent you have in any manner violated or threatened to violate PSP’s intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of California. You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of California. Arbitration under these Terms of Use shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class action proceedings or otherwise. If a suit, action, arbitration or other proceeding of any nature whatsoever is instituted in connection with any dispute or controversy arising out of or related to the subject matter of this Agreement, the prevailing party shall be entitled to recover from the non-prevailing party, in addition to any other available remedy, all reasonable costs, including without limitation court costs, attorneys’ fees, and other expenses incurred in such proceeding.

– Waiver and Severability. The failure of PSP to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of this Terms of Service shall be held unlawful, void, or unenforceable for any reason, then that provision shall be deemed severed from this Terms of Service and shall not affect the validity and enforceability of the remaining provisions. The severed provision shall be deemed modified so that its purpose can be lawfully effectuated and enforced.

– Notices. PSP may provide you with notices, including, without limitation, those regarding changes to the Terms of Service and other service-related announcements, by email or postings on the Service.

– Assignment. PSP may assign this agreement to any successor or purchaser of PSP or all or substantially all of its assets.

– Headings. Section titles and headings in this Agreement are for convenience only, and have no legal or contractual effect.

– Trademarks. Jody Summers, Health Kindness, PSP, the PSP logo, and other PSP logos and names are trademarks of Jody Summers, Health Kindness. You agree not to display or use these trademarks in any manner without prior, written consent of Jody Summers, Health Kindness
